Dual License in the UAE: Operating in Mainland and Free Zone Simultaneously

A dual license arrangement allows a company already licensed in a UAE free zone to also operate on the mainland, or vice versa, without setting up an entirely separate legal entity. This has become a popular route for free zone companies that want to bid on mainland government contracts, lease mainland office space, or sell directly to mainland customers without losing the tax and ownership benefits of their original free zone setup.

The most common version is a partnership between a specific free zone, such as DMCC or Ajman Free Zone, and the Department of Economy and Tourism, where an existing free zone company can obtain a mainland trade license permit under the same trade name and largely the same activity list, often at a reduced additional cost compared to forming a brand-new mainland company from scratch. Not every free zone has this arrangement in place, and not every activity qualifies, so availability depends heavily on which free zone the original license was issued from.

Documentation generally includes the existing free zone trade license, Memorandum of Association, and passport copies of shareholders, along with a mainland office lease if the dual license requires one. Some dual license structures allow the company to continue operating primarily from its free zone premises while only formally registering a presence on the mainland, though this depends on the specific activity and the requirements of the mainland authority.

Because a dual license effectively means two sets of annual renewal fees and, depending on the structure, potentially two sets of compliance obligations, it's worth weighing the cost against simply forming a new mainland branch or company if mainland operations are expected to become the larger part of the business over time. Confirming current dual license partnerships and eligible activities directly with the free zone authority or a PRO service is the safest way to establish whether this route makes sense for a specific business.
